AI and your lawyer

Use your AI. Then get advice someone signs.

You can see it because you know code. It takes an engineer to spot the edge cases, push back on the output and ask the next question. Contracts work the same way. The difference is where the expertise sits.

In your field

AI code: you can see what’s missing

  • You know which edge cases to test
  • You push back when the output looks wrong
  • Gaps tend to show up early, in testing
Outside your field

An AI-reviewed contract: the unfinished parts look finished

  • You don’t know which clause this buyer will push on
  • You don’t know what’s standard, so you can’t push back
  • Gaps tend to show up late: in the buyer’s next round, at renewal, in a dispute

That’s not because law is harder than code. It’s because nobody has expertise outside their own field. That’s why the advice should come from someone accountable, bound by professional secrecy, who knows what to ask.

Lawyer-signed

Every memo is reviewed and signed by Dimitri Descardes, member of the Barreau du Québec, who is responsible for the advice. AI never sends advice on its own.

Knowing what to ask

A tool answers the question you give it. Six years in-house negotiating these contracts means knowing which clauses a buyer is likely to push on, and which fights aren’t worth having.

Professional secrecy

As a member of the Barreau du Québec, I am bound by professional secrecy. What you share with me to get legal advice stays confidential, and I can’t disclose it without your permission or an express provision of law. A general-purpose AI tool owes you no professional secrecy; its provider’s terms govern what you type.

Your AI’s work counts

Send what your AI already flagged. Every point gets a verdict in the memo, so nothing your team did is wasted:

How I use AI. AI tools speed up reading and drafting. Your documents are stored in Canada; some processing, including AI drafting, happens in the United States. The AI provider does not use your data to train its models. Your engagement letter explains how AI is used on your file and asks for your consent. Details on the Security page

Who it’s for

B2B SaaS teams in Ontario and Quebec with an enterprise or government deal in legal.

A good fit if you…

  • Have the buyer’s MSA, DPA, security questionnaire or RFP in front of you
  • Are working a deal worth $50k or more in its first year
  • Already ran it through AI and still don’t know which points to fight
  • Sell to a Quebec buyer and need French-language and Law 25 points flagged

Honestly, not worth it if…

  • Your deal is under about $50k: a good AI tool and our free self-check are probably enough
  • You need litigation, tax, M&A, securities, controlled goods or export work (we refer these out)
  • You want a promise that the deal will close. Nobody can honestly make one.
What you get · priced by deal size

Judgment on the buyer’s paper. Nothing your AI already does well.

One fixed fee, set by your deal size and agreed before any work starts. No hourly meter, no surprise bill.

Value vs cost · an illustration

What a lawyer adds on top of your AI, in dollars.

The question isn’t “lawyer or nothing”. It’s “AI alone, or AI plus a lawyer”. Here’s the math on one example deal, with every assumption shown.

AI alone
$20–200 a month
  • Plus roughly 12–15 hours of your time reading, prompting and checking
  • Plus the risk you accept on what you can’t see
  • Nobody signs it, and the tool owes you no professional secrecy
AI plus a Deal Check
$750 fixed
  • Keep your AI. Send what it found
  • About 2 hours of your time
  • Signed judgment on the buyer’s paper, a redline, and the next round covered
Example: a deal worth $75k in its first year

This is an illustration, not a promise of any result. Every number is an estimate built on the assumptions shown above; your deal, your buyer and your numbers will differ, and the value may be lower. Nothing here guarantees that a deal closes, closes faster or avoids any loss. We guarantee the deadline, not the outcome.

How it works

Three steps. No kickoff call required.

  1. Book 15 minutes, or skip the call

Fill in a 5-minute order form with your deal size. Conflict check, then a one-page engagement letter to e-sign, with the AI-use disclosure included.

  2. Upload the buyer’s paper

Plus your sales contract and whatever your AI tool flagged. Everything goes through a private portal, never email.

  3. Memo on day 1, redline on day 3

Signed memo the next business day, redline by day 3, call prep when you need it, and the buyer’s next round covered.

FAQ

Straight answers.

What does one Check cover?

One counterparty agreement (an MSA, SaaS agreement or order form) plus up to two schedules, such as a DPA or an SLA. Large contracts, RFPs and government packages get a fixed quote within 1 business day, priced by scope, or go to Deal Desk.

Can’t we just do this ourselves with AI?

You should use it, and I do too. But an AI review still needs someone accountable who knows what to ask. Send me what your AI found. I’ll tell you which points matter for this buyer, which to drop and what’s missing, and I sign that advice. If your deal is under about $50k, honestly, a good AI tool is probably enough.

Our AI already flagged the clauses. What would you add?

Flagging isn’t deciding. The memo says, for this buyer, what to accept, what to push back on and the fallback for each, and grades your AI’s list: agree, adjust, not worth the fight, or missed.

Why pay $750 when an AI tool costs $20 a month?

Keep the tool. What you get is a lawyer’s signed judgment on this buyer’s paper, delivered on a deadline, at a fixed fee. On a $75k deal, our illustration above puts the value at about 8.5–12× the fee. Your numbers will differ.

Won’t my lawyer just use AI anyway?

Yes, I use AI, and I’ll tell you how in writing. Your engagement letter explains which tools touch your file and asks for your consent. With a fixed fee, the time AI saves goes to you, never into billable hours.

How do you know our deal size?

You tell us on the order form: the deal’s expected first-year value. The fee is fixed before any work starts and doesn’t depend on whether the deal closes.

Can you really deliver in 1 day and 3 days?

Yes. Your work is scheduled on a set start date, and the memo is written as soon as your documents arrive. If either deadline is missed, the Check is free.

Is this a guarantee that our deal closes?

No. Nobody can honestly promise that. We guarantee the deadline, not the outcome. You’ll know what the buyer will push on and what to say back.

What happens after the Check?

If you have more deals coming, Deal Desk starts at $1,500 a month for 2 deal credits, and your Check fee is credited toward the first month. You’re under no obligation to continue.
